End User License Agreement (EULA)

Effective: August 3, 2025

This End User License Agreement ("EULA") is a legal agreement between you ("You" or "User") and Aumbit Inc., a corporation registered in the United States ("Aumbit," "we," "us," or "our"), governing your use of Aumbit's software, including web-based applications, mobile applications, and related services (collectively, the "Software"). By downloading, installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

1. Grant of License
1.1 Scope of License

Subject to your compliance with this EULA, Aumbit grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Software for personal or non-commercial purposes on devices you own or control, solely as intended by Aumbit.

1.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, except as allowed by law.
  • Use the Software to develop competing products or services.
  • Remove, alter, or obscure copyright, trademark, or proprietary notices.
  • Use the Software for any illegal, unauthorized, or prohibited purpose (see Acceptable Use Policy).
1.3 Updates

Aumbit may provide updates, patches, or new versions of the Software. Updates may occur automatically and are subject to this EULA unless specified otherwise.

2. Ownership and Intellectual Property
2.1 Aumbit's Ownership

The Software, including all code, design, algorithms, and associated content, is owned by Aumbit or its licensors. All rights not expressly granted in this EULA are reserved by Aumbit.

2.2 User Content

You retain ownership of any input ("Input") and output ("Output") you provide or receive ("User Content"). By using the Software, you grant Aumbit a worldwide, irrevocable, perpetual, royalty-free license to use, store, modify, and analyze User Content, as outlined in our Terms of Service and Privacy Policy.

2.3 Feedback

Any suggestions or feedback ("Feedback") you provide are assigned to Aumbit, including all intellectual property rights. Aumbit may use Feedback without attribution or compensation.

3. User Responsibilities
3.1 Eligibility

You must be at least 13 years old or meet your country's minimum age. Users between 13-17 require parental consent.

3.2 Account Security

You are responsible for maintaining account confidentiality. Notify Aumbit immediately at connect@aumbit.io of unauthorized use or security breaches.

3.3 Compliance

You must use the Software in compliance with applicable laws, this EULA, the Terms of Service, and Acceptable Use Policy.

4. Software Usage and Limitations
4.1 "As Is" Provision

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Aumbit does not guarantee that the Software will be error-free, uninterrupted, or free of defects.

4.2 Output Accuracy

The Software's AI-generated outputs may contain inaccuracies, "hallucinations," or inappropriate content. Outputs are not professional advice, and you should verify their accuracy before use. Aumbit is not liable for any reliance on outputs.

4.3 Third-Party Services

The Software may integrate with third-party services (e.g., Google, Apple) subject to their own terms. Aumbit is not responsible for the performance or policies of third-party services.

5. Paid Subscriptions

If you purchase a subscription to access premium features of the Software, you agree to provide accurate billing information and a valid payment method. Subscriptions auto-renew until canceled, and taxes may apply. Payments are non-refundable, except as required by law. For billing inquiries or cancellations, contact connect@aumbit.io. Aumbit may adjust subscription prices with 30 days' notice, effective at your next renewal.

6. Termination
6.1 By You

You may terminate by uninstalling the Software and closing your account.

6.2 By Aumbit

Aumbit may terminate or suspend your access to the Software without notice if:

  • Breach of EULA, Terms of Service, or Acceptable Use Policy.
  • Use that risks harm to Aumbit or third parties.
  • Account inactive for over a year without subscription.
  • Required compliance with applicable law.

Upon termination, you must cease using the Software and delete all copies. No refunds will be provided, except as required by law.

6.3 Appeals

If you believe your access was terminated in error, contact connect@aumbit.io to appeal.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUMBIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE. AUMBIT'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE OR $100, WHICHEVER IS GREATER.

8. Indemnity

To the fullest extent permitted by law, you agree to indemnify and hold Aumbit, its affiliates, and their respective officers, directors, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Software, User Content, or violation of this EULA.

9. Governing Law and Dispute Resolution
9.1 Governing Law

This EULA is governed by the laws of the State of Delaware, without regard to conflict of law principles.

9.2 Jurisdiction

Any disputes arising under this EULA will be resolved exclusively in the state or federal courts in New Castle County, Delaware. You consent to their exclusive jurisdiction and venue.

9.3 Class Action Waiver

YOU AND AUMBIT WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

9.4 Limitations Period

Claims must be filed within two years of accrual, or they will be barred, to the extent permitted by law

10. Mobile App Specific Terms
10.1 Compatibility

To use Aumbit's mobile apps, you must have a compatible device. Aumbit does not guarantee compatibility. You are responsible for any mobile data charges incurred.

10.2 iOS App

For apps acquired from the Apple App Store, this EULA is between you and Aumbit, not Apple. Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support. In case of warranty failure, Apple may refund the purchase price (if any), but has no other warranty obligations. Apple is a third-party beneficiary of this EULA for iOS app licenses.

10.3 Android App

For apps from the Google Play Store, this EULA is between you and Aumbit, not Google. Google is not responsible for the app or this EULA and is a third-party beneficiary for Android app licenses.

11. Export Controls

You agree to comply with all applicable U.S. export control and sanctions laws, including those administered by the U.S. Department of Commerce and the Office of Foreign Assets Control (OFAC). You represent that you are not on any restricted party list or located in a sanctioned country.

12. General Provisions
12.1 Assignment

You may not assign this EULA or any rights hereunder. Aumbit may assign this EULA without restriction.

12.2 Changes

Aumbit may update this EULA, with the new "Effective" date posted at aumbit.io/legal. Continued use of the Software constitutes acceptance of the updated EULA.

12.3 Severability

If any provision of this EULA is deemed invalid, the remaining provisions remain in full force.

12.4 No Waiver

Aumbit's failure to enforce any provision does not constitute a waiver.

12.5 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Aumbit regarding the Software.

14. Regional Specific Terms
14.1 European Economic Area (EEA), UK, or Switzerland Residents

Definition of Consumer

"European Consumers" are individuals in the EEA, UK, or Switzerland acting for non-business purposes.

Right of Withdrawal

European Consumers may withdraw from this EULA within 14 days of accepting it by emailing connect@aumbit.io with your full name, login details, address, and acceptance date. Refunds for verified subscription payments will be processed within 14 days using the original payment method.

Governing Law and Venue

European Consumers benefit from mandatory local laws and may bring disputes in the courts of their habitual residence.

Limitation of Liability

Aumbit is not liable for losses unless caused by our breach of this EULA or reasonably foreseeable. Liability is not limited where unlawful.
